§ 2

Nature of the Service

DidNotPayMe, LLC operates a public accountability platform that enables Claimants to document, publish, and seek recovery of unpaid financial obligations. The Platform provides tools for claim submission, AI-assisted moderation, demand letter generation, public profile publication, dispute handling, and voluntary resolution facilitation.

The Company is not a law firm, attorney, or legal services provider. Nothing on the Platform constitutes legal advice, and no attorney-client relationship is formed by use of the Platform or any of its tools. Claimants requiring legal counsel should retain independent legal representation.

The Company operates primarily as a publication, accountability, and claims-resolution platform. The Company does not provide legal representation or legal advice, and any communications undertaken by the Company are limited to administrative, informational, and voluntary resolution-facilitation functions as described in this Agreement.

§ 3

Authorized Communications and Resolution Contact

By submitting a claim or using any claim-resolution feature of the Platform, the Claimant authorizes the Company and its employees, contractors, agents, and automated systems to communicate with the Subject of Claim for the limited purpose of transmitting factual information, relaying messages, presenting settlement options, receiving responses, and facilitating a voluntary resolution of the submitted claim.

Any such communication by the Company is administrative, ministerial, and facilitative in nature only. The Company does not act as legal counsel, does not enter an attorney-client relationship with any user, does not provide legal advice, does not render legal opinions, does not interpret legal rights or remedies for any party, and does not undertake legal representation in any court, arbitration, mediation, or administrative proceeding.

The Claimant understands and agrees that the Company may describe itself solely as an authorized settlement contact, authorized communications contact, or claims-resolution facilitator for the Claimant, and not as the Claimant's attorney, legal representative, or debt collector. The Company may communicate settlement opportunities, payment options, and factual claim status updates, but shall not be deemed to be practicing law by reason of such communications.

The Claimant remains solely responsible for all legal decisions relating to the claim, including whether to pursue litigation, arbitration, mediation, or any other formal legal remedy. Any user requiring legal advice or legal representation must retain independent counsel.

§ 4

Eligibility and Account Integrity

To use the Platform, you must be at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction. By using the Platform, you represent and warrant that you meet these requirements.

You are responsible for maintaining the confidentiality of any access credentials and for all activity conducted through your account or claim submissions. You agree to notify the Company immediately of any unauthorized access or use.

The Company reserves the right to verify the identity of any Claimant and to require documentary evidence supporting a claim submission at any time.

§ 5

Claim Submission and Accuracy

By submitting a claim, the Claimant represents, warrants, and covenants that:

  • All information provided is accurate, complete, and truthful to the best of the Claimant's knowledge;
  • The claimed obligation is genuine, the amount stated is not materially overstated, and the Claimant has a good-faith basis for the claim;
  • The submission does not constitute defamation, harassment, tortious interference, or any violation of applicable law;
  • The Claimant holds all rights necessary to submit any uploaded evidence, documents, or materials;
  • The submission is not being made for an improper purpose, including but not limited to competitive harm, personal vendetta, or coercion.

Submission of knowingly false, misleading, or fabricated claims is a material breach of this Agreement and may expose the Claimant to civil and criminal liability. The Company reserves the right to remove any claim and permanently ban any user found to have submitted false information.

§ 6

Moderation and Publication

All claim submissions are subject to moderation review prior to publication. The Company employs a combination of automated AI-assisted review and human moderation. Approval of a claim for publication does not constitute an endorsement of the claim's accuracy by the Company.

The Company retains absolute and sole discretion over whether to publish, withhold, modify, suspend, or permanently remove any Deadbeat Page or claim submission, at any time and for any reason, without notice or liability to the Claimant.

Upon approval, the Company will provision a dedicated public subdomain for the claim. Publication timelines are not guaranteed and are subject to moderation queue volume.

§ 7

Recovery Fee and Payment Terms

The Company charges a success-based Recovery Fee on all Recovered Funds arising from claims submitted through the Platform. The Recovery Fee is calculated as follows:

Recovery Scenario Recovery Fee Claimant Remittance
Payment received through Platform-managed payment channels 10% 90% remitted or directed to Claimant, subject to processor clearance and applicable payout timelines
Payment received directly by Claimant outside Platform channels 10% Claimant must remit 10% of gross recovery to Company within 7 days of receipt
Partial settlement or installment payment 10% 10% applies to each installment or partial payment as received
In-kind recovery or non-cash settlement 10% 10% of fair market value; Claimant and Company to agree on valuation in writing
Important — Broad Definition of Recovery The Recovery Fee applies to any funds or value received that are causally connected to a Platform claim, regardless of whether the payment is characterized as a settlement, debt repayment, damages, "gift," or otherwise. Attempts to circumvent the Recovery Fee through relabeling of payments constitute a material breach of this Agreement.

The Recovery Fee obligation survives termination of this Agreement and remains in force for any Recovered Funds received within 24 months following the date of claim publication, regardless of whether the Deadbeat Page has been removed.

§ 8

Payment Direction and Remittance

By submitting a claim, the Claimant agrees that the Company may require or enable settlement payments, reimbursements, and other Recovered Funds relating to the claim to be processed through Platform-managed payment channels designated by the Company, including third-party payment processors and split-payment infrastructure, for the purpose of collecting the Recovery Fee and facilitating remittance to the Claimant.

Where Recovered Funds are received directly by the Claimant — whether through negotiation, legal action, or otherwise — the Claimant is obligated to:

  • Notify the Company in writing within 48 hours of receiving any payment;
  • Remit the applicable Recovery Fee to the Company within 7 calendar days of receipt;
  • Provide documentary evidence of the payment upon the Company's request.

Failure to notify or remit as required constitutes a material breach of this Agreement and entitles the Company to pursue recovery of the fee plus applicable interest and collection costs.

§ 9

Deadbeat Page Removal

The Company retains the exclusive and sole right to determine whether, when, and under what conditions a Deadbeat Page is removed, suspended, or modified. Removal of a Deadbeat Page is not an entitlement and is subject to the Company's discretion.

If a Claimant requests voluntary removal of a published Deadbeat Page prior to full collection of the stated claim amount, the following administrative removal fee applies:

Administrative Removal Fee: The greater of (a) USD $100.00, or (b) one percent (1%) of the total stated claim amount. Removal will not be processed until the administrative fee has been paid in full and cleared.

Removal of a Deadbeat Page does not extinguish or modify the Claimant's obligation to remit the Recovery Fee on any Recovered Funds received within the 24-month post-publication window set forth in Section 7.

The Company may, in its sole discretion, remove or modify a Deadbeat Page at no charge where required by applicable law, court order, or upon a finding by the Company's moderation team that the original claim was submitted in error or in bad faith.

§ 10

Dispute Resolution Process

Any individual who is the Subject of a Claim may file a formal dispute through the Platform's dispute submission portal. All disputes are subject to the following process:

  • The Subject must verify their identity via the Platform's OTP-based email verification system;
  • The Subject may submit a written statement, supporting evidence, and grounds for dispute;
  • The Company's moderation team will review the dispute and may request additional information from either party;
  • The Company may, in its sole discretion, keep the Deadbeat Page published, request modifications, temporarily suspend the page, or remove the page based on the outcome of its review;
  • The Company's moderation decision is final with respect to publication on the Platform.

The dispute process is a Platform-level review mechanism and does not constitute arbitration, mediation, or any form of legal proceeding. Neither party waives any legal rights by participating in the Platform dispute process.

§ 11

Prohibited Conduct

Users of the Platform are prohibited from:

  • Submitting false, fabricated, or materially misleading claims;
  • Using the Platform to harass, threaten, stalk, or intimidate any individual;
  • Submitting claims against minors or protected classes in a discriminatory manner;
  • Attempting to circumvent the Recovery Fee through relabeling, structuring, or other methods;
  • Reverse-engineering, scraping, or otherwise extracting Platform data in bulk without authorization;
  • Impersonating another individual or entity in connection with a claim submission;
  • Using the Platform in any manner that violates applicable local, national, or international law.

Violation of this section may result in immediate suspension, permanent ban, referral to law enforcement, and/or civil action by the Company.

§ 12

Intellectual Property

The Platform and all of its components — including but not limited to software, design, trademarks, and compilations of data — are the exclusive property of DidNotPayMe, LLC or its licensors and are protected under applicable intellectual property law.

By submitting a claim, the Claimant grants the Company a worldwide, royalty-free, sublicensable, irrevocable license to use, publish, reproduce, modify, and distribute all submitted content, including claim narratives, supporting materials, and evidence, for the purpose of operating and promoting the Platform.

The Claimant represents that they own or have the legal right to grant this license with respect to all submitted content.

§ 13

Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

The Company does not guarantee the recovery of any funds and makes no representations regarding the likelihood of success of any claim. All recovery outcomes depend on factors entirely outside the Company's control.

§ 14

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIDNOTPAY ME, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The Company's total aggregate liability to any User for any claims arising under or in connection with this Agreement shall not exceed the greater of (a) USD $100.00, or (b) the total fees actually paid by such User to the Company in the 12 months preceding the claim.

§ 15

Termination

The Company may suspend, restrict, or permanently terminate your access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of this Agreement, submission of false claims, abusive conduct, or any conduct the Company determines to be harmful to users, third parties, or the integrity of the Platform.

Termination of access does not extinguish any obligation incurred prior to termination, including the obligation to remit the Recovery Fee on Recovered Funds received within the applicable post-publication window.

§ 16

Governing Law and Disputes

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be finally settled by binding arbitration administered in Panama City, Panama, in accordance with applicable arbitration rules, and judgment on the award rendered by the arbitrators may be entered in any court having jurisdiction.

Notwithstanding the foregoing, the Company reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to enforce the Recovery Fee obligation.

You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.

§ 17

Modifications to this Agreement

The Company reserves the right to modify this Agreement at any time. Modifications will be effective upon posting of the revised Agreement to the Platform. The "Last Revised" date at the top of this document will be updated accordingly. Your continued use of the Platform following the posting of any modifications constitutes your acceptance of the revised Agreement.

If any modification materially affects your rights or obligations, the Company will make reasonable efforts to provide notice via the Platform or by email where an address is on file. It is your responsibility to review this Agreement periodically.
